Terms of Service

This policy is a launch-ready draft for product planning and must be reviewed by a qualified attorney before public launch.

These Terms of Service govern access to CypherClub, including the website, mobile-ready web app, Studio, Arena, beats, challenges, memberships, creator tools, support tools, and related services.

By creating an account, using the app, uploading content, joining a room, saving a recording, sharing a link, or buying a membership, you agree to these Terms.

You must be at least 13 years old to use CypherClub. Users under 13 may not create accounts. If you use CypherClub on behalf of an organization, you confirm that you have authority to accept these Terms for that organization.

You are responsible for your account, login credentials, profile information, username, display name, uploaded content, and activity in rooms. Keep your login information secure and notify support if you believe your account has been compromised.

CypherClub may restrict, suspend, or terminate accounts that violate these Terms, community rules, safety rules, copyright rules, payment rules, or applicable law.

CypherClub may offer Free, Standard, Premium, and Diamond plans. Paid plans may include additional practice access, recording storage, downloads, publishing, exclusive beats, AI features, analytics, creator features, and other membership benefits.

Plan features may change as the product evolves. We will try to communicate material changes clearly.

CypherClub may provide Cypher Credits as an internal app balance for eligible features, rewards, AI tools, storage actions, downloads, publishing, promotions, and creator tools. Credits have no cash value, are non-transferable, cannot be redeemed for money, and may be limited, revoked, paused, or corrected for abuse, refunds, billing disputes, soft-cap rules, duplicate rewards, provider errors, or policy violations.

Paid memberships are billed through Stripe or another authorized payment processor. CypherClub does not store full payment card numbers.

Subscriptions may renew automatically on a monthly or yearly basis unless canceled before the renewal date. You can manage billing through the membership or billing portal when available.

Purchases, cancellations, failed payments, refunds, taxes, price changes, trials, and plan changes may be subject to Stripe terms and the subscription terms shown at checkout.

Membership access is updated only after payment confirmation from the payment provider or an authorized admin testing tool. Frontend buttons, success URLs, screenshots, or user claims do not create paid membership status.

User content includes recordings, lyrics, freestyles, transcripts, profiles, usernames, display names, chat messages, uploaded files, published songs, room names, comments, images, and shared links.

You keep ownership of content you create, subject to the license you grant CypherClub below. You are responsible for having the rights needed to upload, record, publish, share, or perform content on CypherClub.

When you upload, record, save, publish, or share content through CypherClub, you grant CypherClub a limited, worldwide, non-exclusive, royalty-free license to host, store, process, display, reproduce, transmit, transcode, analyze, and distribute that content as needed to operate, improve, secure, support, and promote the service according to your settings and the features you use.

For public or published content, this license includes displaying that content to other users and in public-facing areas where the feature requires it. Private content remains subject to product privacy settings and sharing choices, but may still be processed for storage, playback, moderation, safety, support, and legal compliance.

CypherClub may provide official beats, exclusive beats, uploaded beats, and creator or producer content. Beat availability, permitted uses, download rights, publishing rights, and commercial rights may vary by plan and by beat.

Do not upload, perform, publish, sell, or distribute music, beats, samples, vocals, images, or other content unless you have the rights to do so.

CypherClub may offer AI-powered guidance, judging, analysis, coaching, summaries, moderation support, and support assistance. AI outputs are informational and may be incomplete or inaccurate. AI feedback is not legal, financial, medical, professional, or career advice.

Do not submit highly sensitive personal information, passwords, secrets, payment details, or private third-party information into AI tools.

You agree not to harass, threaten, dox, impersonate, exploit, spam, bully, promote hate, share sexual content involving minors, upload illegal content, infringe rights, disrupt rooms, manipulate payments, abuse reports, or use CypherClub for harmful activity.

CypherClub may review, restrict, hide, remove, or report content and accounts when needed for safety, legal compliance, platform integrity, payment integrity, copyright compliance, or support. We may use automated tools, human review, and user reports.

Enforcement may include warnings, feature limits, room removal, content removal, account suspension, account termination, payment restrictions, or referral to appropriate authorities when legally required.

If you believe content on CypherClub infringes your copyright, use the Copyright and DMCA process. We may remove or disable access to allegedly infringing content and may terminate repeat infringers where appropriate.

Cypher Club Records lets users save private recordings, create unlisted share links, and publish public records. You are responsible for the recordings, lyrics, beats, samples, names, descriptions, tags, and artwork you publish. Publishing a record means you confirm you have the right to share it and that it follows CypherClub rules.

Public records may appear on profile pages, discovery feeds, community pages, and share pages. Unlisted records may be accessible to anyone with the link. Private records are intended for owner access, but no platform can guarantee absolute confidentiality.

CypherClub may remove, hide, unpublish, preserve, or restrict records for safety, copyright, moderation, payment integrity, storage abuse, or legal reasons. CypherClub is a platform for creators and is not automatically a record label, publisher, distributor, manager, or record deal.

Creator, affiliate, referral, tournament, challenge, and promotional programs may have additional terms. Participation can be revoked for abuse, fraud, unsafe behavior, inaccurate claims, or violation of program rules.

CypherClub is evolving. Features may be added, changed, limited, interrupted, removed, or unavailable. We do not guarantee uninterrupted access, error-free operation, permanent storage, or specific business outcomes.

CypherClub is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee that the service will meet every expectation, be uninterrupted, be secure, or produce any specific creative, financial, or career result.

To the fullest extent permitted by law, CypherClub and its owners, operators, employees, contractors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost content, lost opportunities, or business interruption.

You agree to defend, indemnify, and hold CypherClub harmless from claims, damages, liabilities, losses, and expenses arising from your content, account activity, rights violations, legal violations, payment abuse, or breach of these Terms.

You may stop using CypherClub at any time. We may suspend or terminate access if you violate these Terms, create risk, fail to pay, abuse the platform, or if continued access would create legal, security, safety, or operational risk.

These Terms are intended to be governed by the laws of New York, unless another jurisdiction is required by applicable law. Attorney review is required before launch.

We may update these Terms as CypherClub changes. The current version and last updated date will be shown on this page. Material changes may be communicated through the app, email, or account notices.
